These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you", "your", "User") and [Insert Legal Entity Name] ("Bizrelievo", "we", "us", "our"), governing your access to and use of the Bizrelievo website, web application, and mobile application, and all related services (collectively, the "Platform" or "Services").

PLEASE READ THESE TERMS CAREFULLY. BY REGISTERING FOR, ACCESSING, OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT USE THE PLATFORM.

1. Acceptance of Terms

By creating an account, uploading documents, making a payment, or otherwise using any part of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Refund and Cancellation Policy, and our User Data Privacy Protection Policy, each of which is incorporated herein by reference.

2. Description of Services

Bizrelievo provides a technology platform that facilitates:

Business Setup and Registration ServicesIncluding but not limited to company incorporation (Private Limited Company, One Person Company), Limited Liability Partnership registration, Partnership Firm registration, NGO/Society/Trust registration, GST registration, Trademark filing, FSSAI licensing, MSME/Udyam registration, Shop & Establishment registration, Import-Export Code, ISO certification, and other applicable statutory registrations.
Ongoing Regulatory Compliance ServicesIncluding GST return filing, Income Tax Return filing, ROC/MCA annual and event-based compliances, TDS return filing, Director KYC, and related statutory filings, along with AI-assisted analysis and drafting of responses to regulatory notices.
Business Management ServicesIncluding bookkeeping, ledger maintenance, generation of financial statements (Profit & Loss Account, Balance Sheet, Cash Flow Statement, Cash Book), monthly sales reporting, and related business management tools.

The specific scope, deliverables, fees, and timelines for each service are described on the relevant service page of the Platform at the time of your order and shall be deemed incorporated into these Terms for that specific transaction.

3. Nature of Services — Technology Platform with Professional Facilitation

  • 3.1Bizrelievo is a technology and facilitation platform. Certain services offered through the Platform — including, without limitation, incorporation filings, statutory audits, certification of financial statements, and representation before tax or regulatory authorities — may, under applicable Indian law, require execution, certification, or signature by a qualified and licensed professional (Chartered Accountant, Company Secretary, Cost Accountant, or Advocate, as applicable).
  • 3.2Where such professional certification is legally required, Bizrelievo facilitates the engagement of appropriately qualified, independent professionals (whether empanelled with Bizrelievo or otherwise) to review, certify, and/or sign the relevant documents or filings before submission to any government authority. Bizrelievo itself does not, and does not purport to, provide legal, chartered accountancy, or company secretarial services in its own right.
  • 3.3Any artificial intelligence-generated output — including drafts, analyses, suggested ledger entries, suggested replies to regulatory notices, or risk assessments ("AI Output") — is provided as an assistive tool only and does not constitute professional advice. AI Output must be reviewed and, where applicable, approved and signed by a qualified professional before being relied upon, filed, or acted upon. Bizrelievo recommends that you independently verify all AI Output before relying on it.

4. Eligibility

You represent and warrant that:

  • You are at least 18 years of age and competent to contract under the Indian Contract Act, 1872;
  • If you are acting on behalf of an entity, you have the authority to bind that entity to these Terms;
  • All information you provide to us is true, accurate, current, and complete; and
  • You will comply with all applicable laws in your use of the Platform.

5. Account Registration

  • 5.1You must register for an account to access most Services, providing accurate and complete information.
  • 5.2You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use.
  • 5.3Bizrelievo reserves the right to suspend or terminate accounts that provide false, misleading, or incomplete information, or that are used in violation of these Terms.

6. User Responsibilities and Document Accuracy

  • 6.1You are solely responsible for the accuracy, authenticity, completeness, and legality of all documents, information, and data you upload or submit through the Platform, including identity documents, financial records, and business information.
  • 6.2You shall not upload any document or information that is false, forged, fraudulent, or that infringes the rights of any third party.
  • 6.3Bizrelievo and its professional partners are entitled to rely on the documents and information you provide and shall not be liable for any loss, penalty, demand, rejection, or legal consequence arising from inaccurate, incomplete, or fraudulent information or documents provided by you.
  • 6.4You acknowledge that statutory authorities (MCA, GSTN, Income Tax Department, and others) retain sole discretion to approve, reject, or seek clarification on any application, and that Bizrelievo does not guarantee approval, registration, or any particular outcome.

7. Fees, Payment, and Taxes

  • 7.1Fees for each Service are displayed on the Platform at the time of order and may comprise (a) Bizrelievo's professional/service fee, and (b) applicable government fees, stamp duty, statutory charges, or third-party costs, which are separately identified and payable by you.
  • 7.2All fees are exclusive of applicable taxes (including GST) unless stated otherwise, and such taxes shall be added to the invoice as applicable.
  • 7.3Payments are processed through third-party payment gateways. Bizrelievo does not store your complete card or payment instrument details.
  • 7.4Government fees, stamp duty, and statutory charges, once paid to or remitted on behalf of a government authority, are non-refundable, as set out in our Refund and Cancellation Policy.
  • 7.5Bizrelievo reserves the right to revise its fees at any time, with such revision applying prospectively to new orders.

8. Subscription Services

  • 8.1Certain Services may be offered on a subscription basis (monthly/annual), as described on the Platform at the time of subscription.
  • 8.2Unless cancelled by you prior to the renewal date, subscriptions shall automatically renew for successive periods at the then-current fee.
  • 8.3You may manage or cancel your subscription through your account settings or by contacting support.

9. Intellectual Property

  • 9.1All content, software, designs, and materials on the Platform are the exclusive property of Bizrelievo or its licensors.
  • 9.2You are granted a limited, non-exclusive, revocable licence to access and use the Platform solely for internal business purposes.
  • 9.3You retain ownership of your User Content. You grant Bizrelievo a limited licence to use it solely to provide the Services.
  • 9.4You shall not reverse-engineer, copy, or create derivative works from the Platform.

10. Prohibited Uses

You shall not use the Platform to:

Submit false, fraudulent, or forged documents or information;
Violate any applicable law, including anti-money laundering, foreign exchange, or tax laws;
Infringe the intellectual property, privacy, or other rights of any third party;
Transmit malware, viruses, or engage in any activity that disrupts or damages the Platform;
Attempt to gain unauthorised access to any part of the Platform, other users' accounts, or our systems;
Use the Platform for any purpose that is unlawful, fraudulent, or harmful to Bizrelievo, other users, or third parties; or
Scrape, harvest, or extract data from the Platform without authorisation.

11. Third-Party Government Portals and Services

  • 11.1Certain Services involve Bizrelievo accessing third-party government portals (e.g., Income Tax, GSTN, MCA21) on your behalf, pursuant to your explicit authorisation.
  • 11.2Such access is subject to the functioning of the respective government portals, which are outside Bizrelievo's control. Bizrelievo shall not be liable for any delay, downtime, or change in process attributable to such portals.
  • 11.3You agree to provide credentials or consent as reasonably required to access such portals, and promptly revoke access upon request or termination.

12. No Guarantee of Regulatory Outcome

You acknowledge and agree that Bizrelievo facilitates the preparation and submission of applications, returns, and filings, but does not control, and cannot guarantee, the decisions, approvals, assessments, or timelines of any government department, regulatory authority, or tribunal. Any representation regarding estimated processing time on the Platform is indicative only and based on prevailing departmental practice, which may change without notice.

13. Confidentiality

Each party shall maintain the confidentiality of the other party's confidential information disclosed in connection with the Services and shall not disclose such information to any third party except as required to deliver the Services, as required by law, or with the disclosing party's prior written consent.

14. Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. BIZRELIEVO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY APPLICATION OR FILING WILL BE APPROVED BY THE RELEVANT AUTHORITY.

15. Limitation of Liability

  • 15.1TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIZRELIEVO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO BIZRELIEVO FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
  • 15.2IN NO EVENT SHALL BIZRELIEVO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE PLATFORM OR SERVICES, EVEN IF BIZRELIEVO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • 15.3NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD OR WILFUL MISCONDUCT.

16. Indemnification

You agree to indemnify, defend, and hold harmless Bizrelievo, its directors, officers, employees, professional partners, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your violation of any applicable law; (c) inaccurate, incomplete, or fraudulent information or documents provided by you; or (d) your infringement of any third-party rights.

17. Termination and Suspension

  • 17.1You may terminate your account at any time by contacting support, subject to completion of any pending Services and payment of outstanding fees.
  • 17.2Bizrelievo may suspend or terminate your access to the Platform, with or without notice, if you breach these Terms, provide false information, engage in fraudulent activity, or at our reasonable discretion.
  • 17.3Termination shall not affect any rights, obligations, or liabilities accrued prior to the date of termination.

18. Force Majeure

Bizrelievo shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government action, changes in law, internet or telecommunications failures, or failures of third-party government portals.

19. Dispute Resolution and Governing Law

  • 19.1These Terms shall be governed by and construed in accordance with the laws of India.
  • 19.2Any dispute shall first be attempted to be resolved through good-faith negotiation between the parties.
  • 19.3If not resolved within thirty (30) days, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be [Insert City, e.g., New Delhi], India, and the language of arbitration shall be English.

20. Amendments

21. Severability

If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision modified to be enforceable.

22. Entire Agreement

These Terms, together with our related Policies and service-specific terms, constitute the entire agreement between you and Bizrelievo, superseding prior agreements.
